Baiiiz Flex Partnership Program – Terms & Conditions

1. Introduction and Acceptance
These Terms and Conditions govern your participation in the Baiiiz Flex Partnership Program (“Program”), operated by Webzieh Creations Ltd t/a Baiiiz (“we,” “us,” “our” or “Baiiiz”). The Program now offers two primary tracks: Flex Basic (Independent Resale) and Flex Launch+ (Managed E-commerce).
By registering for any tier of the Program (“you” or “Partner”) and paying the applicable Subscription Fee, you agree to be bound by these Terms. If you do not agree, you may not participate.
2. Eligibility and Program Structure
Eligibility: You must be at least 18 years old and legally able to enter into binding contracts.
Application: Partner applications are subject to approval at Baiiiz’s sole discretion.
Account Limit: Partners may not create multiple accounts or attempt to exploit the Program through self-referrals or fraudulent activity.
3. Partnership Plans and Fees
Participation in the Program requires a non-refundable, recurring Subscription Fee based on the chosen plan.

Payment: Subscription Fees are payable in advance monthly or annually, as selected during registration. Failure to pay the fee will result in immediate suspension of all Partner benefits and account access.
Upgrades/Downgrades: Plan changes will take effect at the start of the next billing cycle.
4. Earning Structure and Profit Realization
The method of profit realization varies based on your chosen plan:
A. Flex Launch, Growth, Advance, and Pinnacle (Managed E-commerce)
Partner Discount: The Partner will receive a 10% Partner Discount applied to the Net Product Price (excluding VAT, Transaction Fees, and Shipping) for all Qualifying Purchases made through their managed website.
Profit Realization: This discount is realized at the point of sale as a deduction from the amount due to Baiiiz. The Partner’s profit is the amount of the 10% Partner Discount.
Qualifying Purchase: A valid customer order placed on the Partner’s Baiiiz-managed website.
B. Flex Basic (Independent Resale)
Resale Discount: The Partner is granted access to Special Resale Discounts when purchasing products directly from Baiiiz for the purpose of independent resale.
Profit Realization: Profit is realized by the Partner when they resell the purchased product to an end customer at a price they determine.
No Baiiiz Managed Site: Flex Basic Partners are responsible for their own sales platform, logistics, and all related liabilities.
5. Managed Services and Financial Terms (Launch+ Plans)
For Partners on Flex Launch+ Tiers, Baiiiz provides and manages the following:
Website: Creation, hosting, and ongoing management of a dedicated e-commerce website. The Partner is responsible for securing and maintaining their domain name (if a custom domain is used).
Logistics: Baiiiz handles all product stock, storage, fulfillment, and shipping for Qualifying Purchases.
Fees & Deductions: All Qualifying Purchases are subject to the following charges, automatically deducted before the 10% Partner Discount is calculated:
VAT: Value Added Tax at the prevailing UK rate (currently 20%).
Transaction Fee: A 4% Transaction Fee on the Gross Sales Price to cover payment processing and platform costs.
6. Financial Terms and Payouts
Refunds and Returns: If a Qualifying Purchase is cancelled, refunded, or subject to a chargeback, any profit deduction previously applied to the Partner’s account will be reversed.
Payment Transfers: The default method of profit realization is through the Partner Discount deduction (Launch+). In the event of manual adjustments or specific profit transfers (e.g., if the Partner is owed funds), payouts will be processed monthly via the Partner’s provided financial method (e.g., PayPal or bank transfer).
7. Partner Responsibilities and Compliance
By participating, you agree to:
Promote Baiiiz’s products in a fair, truthful, and ethical manner.
Clearly disclose your Partner relationship in compliance with ASA (Advertising Standards Authority) and UK consumer laws (e.g., by stating “I am a Baiiiz Partner” or similar clear language).
Only use Baiiiz-approved marketing content or materials, especially when promoting managed websites.
Act in good faith and avoid generating fake clicks, referrals, or fraudulent activity.
8. Prohibited Activities
Partners are not permitted to:
Use unsolicited emails, spam, or bots to generate sales.
Place paid ads bidding on “Baiiiz” brand keywords or variations.
Misrepresent yourself as an employee or legal representative of Baiiiz.
Exploit the system by using any Partner link or discount access for personal purchases (self-referral).
9. Intellectual Property
Baiiiz grants Partners a limited, non-exclusive, revocable license to use Baiiiz logos, images, banners, and links solely for Program promotions. Partners must not alter Baiiiz branding or register any domains/social accounts resembling Baiiiz to mislead the public.
10. Termination
Either party may terminate this Agreement at any time with written notice. Baiiiz may suspend or terminate your account immediately if:
You breach these Terms, including failure to pay the Subscription Fee.
Engage in fraudulent or unethical activity.
Damage Baiiiz’s brand reputation. Upon termination, all Partner links and access to your managed website (Launch+ Plans) will cease immediately. Any valid, earned profit deductions will be processed, unless withheld due to fraud.
11. Program Changes
Baiiiz reserves the right to update or change the Program (including Subscription Fees, Partner Discount rates, or Managed Services) at any time. Partners will be notified of major changes via email or through the Partner dashboard. Continued participation constitutes acceptance of updated Terms.
12. Liability & Disclaimer
Baiiiz will not be liable for indirect, incidental, or consequential damages (loss of income, business, data, etc.) arising from participation in this Program. No specific level of profit is guaranteed—success depends on your promotional efforts. Tracking and reporting systems are provided “as is” and may occasionally experience technical delays or errors, which Baiiiz will work to resolve.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be handled exclusively by the courts of England & Wales.
Agreement By signing up and continuing as a Baiiiz Flex Partner, you acknowledge that you have read, understood, and agree to comply with these Terms and Conditions.
